Terms of Service

Indiexa ("Indiexa", "we", "us", "our") provides its services (described below) to you through its website located at https://indiexa.com (the "Site") and its related services (collectively, such services, including any new features and applications, and the Site, the "Services"), subject to the following Terms of Service (as amended from time to time, the "Terms of Service"). We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time, in accordance with the section headed 'Modifications' below. If we do this, we will post the changes on this page and will indicate at the top of this page the date these terms were last revised. Except as otherwise indicated below, modifications to these Terms of Service will take effect at the next renewal of your subscription term and will automatically apply as of the renewal date, except that changes addressing new functions of the Services or changes made for legal reasons will be effective immediately. Your continued use of the Services after the date any such changes become effective constitutes your acceptance of the new Terms of Service.

In addition, when using certain features of the Services, you will be subject to any additional terms applicable to such features that may be posted on the Services from time to time, including, without limitation, the Privacy Policy located at https://indiexa.com/privacy-policy and the Cookie Policy located at https://indiexa.com/cookies. All such terms are hereby incorporated by reference into these Terms of Service. In the event of any conflict between these Terms of Service and such additional terms, the additional terms shall prevail.

By using the Services or by clicking to accept the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Services.

I. Service and Modification.

Services Description. The Services are designed to help independent developers share products and let active users support the products they like through Buy and Sell actions using Credits earned by regularly using Indiexa. The Services also include product listings, profiles, posts, discussions, following, discovery features and public leaderboards. We offer paid plans that provide product listing capacity and related features, as described in Section IX.

Modifications. Modifications to Services: Indiexa reserves the right to modify or discontinue, temporarily or permanently, the Services or these Terms of Service (or any part thereof) with or without notice in our sole discretion, including to: (a) reflect changes in applicable laws and regulations; (b) make technical adjustments and improvements, for example, to address a security threat; and (c) update or improve the Services. We will notify users with a paid plan of any material changes of this nature, and such changes will ordinarily take effect at the next renewal of the applicable subscription term. Notwithstanding the foregoing, we may specify that a modification becomes effective during a current subscription term where necessary for legal or regulatory compliance, security, or a new feature. If a material modification takes effect during your current subscription term and you object to it, then as your exclusive remedy you may terminate your subscription by notifying us within thirty (30) days after we notify you of the modification. Where applicable, Indiexa will arrange a refund under Section IX of any fees you prepaid for the portion of the subscription term occurring after termination. For the avoidance of doubt, any Services provided are subject to the version of these Terms of Service in effect at the time those Services are provided. You agree that Indiexa will not be liable to you or to any third party for any modification, suspension or discontinuance of the Services, except for any refund expressly provided under this paragraph or required under Section IX.

Modifications to Pricing. We reserve the right to change the prices for the Services. If Indiexa changes prices, Indiexa will provide notice of the change on the Site or by email to you, at Indiexa's option, and the change will take effect at the next renewal of your subscription term and will automatically apply as of the renewal date unless you elect not to renew. Your renewal and continued use of the Services after the price change becomes effective constitutes your agreement to pay the changed amount.

II. Registration.

Your Registration Obligations. You are required to register with Indiexa in order to use account-based features of the Services, including earning Credits, using Buy and Sell actions, publishing content and maintaining product listings. If you register for the Services, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Services' registration form. Registration data and certain other information about you are governed by our Privacy Policy. If you are under thirteen (13) years of age, you are not authorized to use the Services, with or without registering. In addition, if you are under eighteen (18) years of age, you may use the Services, with or without registering, only with the approval of your parent or guardian.

Member Account, Password and Security. You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify Indiexa of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session when accessing the Services. We strongly recommend that you enable two-factor authentication. Indiexa will not be liable for any loss or damage arising from your failure to comply with this Section.

Single Account. You may hold and operate one (1) account only. The registration or operation of more than one account by the same person, or the use of an account registered to another person, is a material breach of these Terms of Service and is subject to Section V.

Usernames. You acquire no ownership interest in any username. You must not register or use a username in order to impersonate any person or entity, to misrepresent your affiliation with any person, entity or product, or for the purpose of resale or transfer. Indiexa reserves the right to reclaim, suspend or reassign any username at its sole discretion, including any username associated with an account that has been inactive for an extended period.

III. General Practices Regarding Use and Storage.

You acknowledge that Indiexa may establish general practices and limits concerning use of the Services, including without limitation the maximum period of time that data or other content will be retained by the Services, the maximum storage space allotted on our servers on your behalf, rate limits on requests, and limits on the frequency and volume of Buy and Sell actions. You agree that Indiexa has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded through the Services. You acknowledge that Indiexa reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that Indiexa reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

IV. Credits, Shares, Buy and Sell.

Nature of the Feature. The Services allow users to support listed products through Buy and Sell actions. Users make these actions with an in-Service unit called "Credits" and may receive units associated with a listed product called "Shares". Credits, Shares, prices, charts, balances and related information exist only as features of the Services and are provided for community participation and entertainment.

Credits and Shares are not money, property, securities, financial instruments, investments or ownership interests. They do not give you equity, voting rights, revenue rights or any other right or claim in a listed product, its maker, another user or Indiexa. They cannot be purchased from Indiexa, transferred to another person, withdrawn, redeemed, exchanged or converted into money, cryptocurrency, goods, services or anything else of value. Indiexa does not provide financial, investment, legal or tax advice.

Credits. Credits are earned through use of the Services, including through regular activity, missions, engagement streaks and limited-time events. Indiexa may determine the amount, timing, availability and eligibility requirements for earning Credits and may change or discontinue any method of earning Credits at any time. You acquire no ownership interest in Credits.

Buy and Sell. When you use Buy, Credits are deducted from your balance and Shares are added to your account. When you use Sell, Shares are deducted and Credits are added to your balance in accordance with the price displayed by the Services at the time the action is completed. A Buy or Sell action takes place only within the Services and does not transfer Credits, Shares, money or property between users.

You will not, and will not attempt to: (a) sell, purchase, redeem, exchange, gift, lend or otherwise transfer Credits, Shares or accounts to or from another person; (b) withdraw, cash out or convert Credits or Shares into anything of value; or (c) offer, advertise or solicit any of the foregoing, whether on or off the Services. In no circumstances will Indiexa exchange, redeem or provide consideration for Credits or Shares.

Prices and Product Data. Prices displayed through the Services are generated automatically and may respond to Buy and Sell activity, account and integrity signals, product activity and other inputs selected by Indiexa. Products with limited activity may continue to display automatically generated price and chart movements. Indiexa may change the systems, inputs and parameters used to produce prices at any time and does not publish its internal weightings.

You acknowledge and agree that prices, charts, market capitalisations, volumes, rankings, leaderboards and related information made available through the Services (collectively, "Product Data") are generated solely for the purposes of the Services and are subject to numerous limitations, including that: (a) Product Data reflects activity within the Services and does not measure the revenue, users, funding, traffic, valuation or commercial performance of a product or its maker; (b) Product Data may move for reasons unrelated to a product; (c) Product Data may contain errors and may be corrected, restated or withdrawn; and (d) Product Data is not a real-world valuation, rating, benchmark, index, investment research or financial advice.

Adjustments and Corrections. Indiexa may manage, regulate, control, modify, reset, seasonally roll over or eliminate Credits, Shares, balances, holdings, prices, chart data, rankings and other Product Data at any time, with or without notice, including by reversing individual Buy or Sell actions and restating balances. Indiexa shall have no liability to you or to any third party where Indiexa exercises these rights. Because Credits and Shares have no monetary value, no such adjustment entitles you to money, compensation or replacement value.

Product Removal. A listed product may be frozen and removed at the election of its listing holder, as a consequence of a breach of these Terms of Service, or at Indiexa's sole discretion. When a product is removed, the Services may automatically exchange all Shares associated with that product for Credits at a final price determined by Indiexa. You will have no right to choose the timing, price or whether to participate in that process. Where reasonably possible, Indiexa will notify affected holders. Indiexa's determination of the final price is final.

V. Fair Use and Integrity.

Prohibited Conduct. In addition to the restrictions in Section VII, you will not: (a) register or operate more than one account, or use an account registered to another person; (b) use any bot, script, macro or other automated means to use Buy or Sell or obtain Credits; (c) coordinate with another user to improperly influence a product's price, Product Data, ranking or leaderboard position; (d) use Buy or Sell for the purpose of manipulating the Services, including by acting through multiple accounts; (e) manipulate or exploit any mission, streak or other mechanism by which Credits are obtained; or (f) exploit any defect, pricing error or unintended behaviour rather than reporting it to legal@indiexa.com.

Enforcement. Indiexa may monitor activity within the Services for the conduct described above. Where Indiexa reasonably believes that you have engaged in such conduct, Indiexa may, in its sole discretion and without notice, reverse Buy or Sell actions, remove Credits or Shares, restate your balance, remove you from a ranking or leaderboard, freeze or remove an affected product, suspend your account or terminate your account permanently. Indiexa shall have no liability to you in respect of any such action. Any suspected fraudulent, abusive or illegal activity may be referred to the appropriate authorities.

Review. If you consider that action has been taken against your account, listing or User Content in error, you may request a review by writing to legal@indiexa.com within thirty (30) days of the action.

VI. Product Listings.

Listing Obligations. Listings may be created by any registered user holding available listing capacity, including in respect of products which that user did not develop. By creating a listing you represent and warrant that the information you provide is accurate to the best of your knowledge and that you do not create the listing for the purpose of impersonating, disparaging or misleading any person.

Claims and Removal Requests. Where a product is listed by a person other than its owner, the owner may claim the listing by verifying its connection to the product to Indiexa's reasonable satisfaction, in which case Indiexa may transfer the listing. The owner of a product may alternatively request that the listing be removed from the Services by writing to legal@indiexa.com. Indiexa will honour a valid removal request after reasonably verifying the requester's connection to the product, except where removal is delayed or restricted because of a competing ownership claim, suspected fraud or abuse, a legal preservation requirement, or the technical completion of the removal process. The owner is not required to state a reason for requesting removal. Removal of a listing is subject to the Product Removal provisions of Section IV.

Third Party Names and Logos. Product names, logos and marks displayed within the Services are used to identify the products to which they refer. Their display does not indicate that the owner of any such mark endorses, sponsors, or is affiliated with or connected to Indiexa, or that Indiexa is affiliated with or connected to them. All rights in such marks remain with their respective owners.

Listing Capacity. The number of listings you may maintain concurrently is determined by the listing capacity available on your account, including capacity provided by a subscription or Lifetime plan. Where your capacity is reduced, whether by cancellation, downgrade, failure of payment or refund, listings in excess of your revised capacity may be scheduled for removal. Indiexa will notify you of the affected listings and, where the Services permit, provide an opportunity to choose which listings are retained. Removal is subject to Section IV.

Team Members. A listing may have multiple associated members holding differing roles. The holder of the listing is responsible for the members it authorises and for the acts and omissions of those members in connection with the listing.

Custom Domains. You may direct a domain under your control to a listing page. You are solely responsible for the configuration of that domain and represent and warrant that you hold the right to use it. Indiexa may cease serving any custom domain at any time and gives no warranty as to the availability of that functionality.

VII. User Content.

User Content. You are solely responsible for all text, images, links, descriptions, posts, comments, replies, profile information, listing information, and other materials ("User Content") that you upload, post, publish or display (hereinafter, "upload") via the Services. You agree not to upload any User Content that:

a) infringes any intellectual property or other proprietary rights of any party; b) you do not have a right to upload under any law or under contractual or fiduciary relationships; c) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; d) poses or creates a privacy or security risk to any person, including by disclosing any person's private information without their consent; e) constitutes unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; f) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libellous, invasive of another's privacy, or hateful racially, ethnically or otherwise objectionable; g) contains any sexualised depiction of a minor, or any sexualised depiction of an identifiable person published without that person's consent; h) contains statements concerning any product or its owner which you know, or ought reasonably to know, to be false; or i) in the sole judgment of Indiexa, is objectionable or which restricts or inhibits any other person from using or enjoying the Services, or which may expose Indiexa or its users to any harm or liability of any type.

You further agree not to: (i) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person, entity or product; (ii) interfere with or disrupt the Services or servers or networks connected to the Services; (iii) solicit votes, follows, Buy or Sell actions, or ranking assistance in exchange for any consideration; (iv) engage in or use any data mining, robots, scraping or similar data gathering or extraction methods in connection with the Services; (v) reverse engineer, reverse assemble, probe, or attempt to circumvent any rate limit or security measure of the Services; (vi) resell, redistribute or make available any part of the Services to any third party; or (vii) violate any applicable local, state, national, supranational or international law, or any regulations having the force of law.

License to User Content. With respect to User Content, you represent and warrant that you own all right, title and interest in and to such User Content, or that you otherwise hold all rights necessary to grant the licence below. By uploading User Content you grant Indiexa a non-exclusive, worldwide, royalty free, fully paid up, transferable and sublicensable licence to host, store, use, reproduce, distribute, modify, adapt, publish and display your User Content in connection with the provision, operation, improvement and promotion of the Services. This licence terminates when you delete the User Content, except that Indiexa may retain copies in backup media for a limited period, may retain User Content where necessary to comply with law or resolve disputes, and may retain content that other users have quoted, shared or responded to.

Termination of your account does not of itself delete User Content you have posted to public areas of the Services. Such User Content remains available, with attribution to your account removed, and the licence granted in this paragraph continues to apply to it for so long as it remains on the Services. This is because posts, comments and replies form part of conversations in which other users have participated, and their removal would render those conversations incomplete. If you wish a particular post, comment or reply to be removed, you must delete that item before terminating your account. Our Privacy Policy describes what is deleted, what is retained and for how long.

You acknowledge that User Content which you upload to public areas of the Services, including listings, posts, comments and profiles, is visible to any person, including persons who are not registered users, and may be indexed by search engines.

Responsibility for User Content. Any User Content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom that User Content originated. Indiexa does not endorse and does not verify or guarantee the accuracy, completeness, legality, reliability, quality or usefulness of User Content.

You access, view and rely on User Content at your own risk. Indiexa has no duty to control how you interpret or use User Content or what action you take after being exposed to it. To the fullest extent permitted by law, Indiexa will not be liable for any error or omission in User Content, or for any loss, damage, claim or dispute arising from your access to, reliance on, or use of User Content, including any product, design, business, technical or other decision made in response to it.

The presence, visibility, ranking or continued availability of User Content does not constitute approval or endorsement by Indiexa. Any opinions, claims, comparisons, recommendations or representations contained in User Content belong solely to the user who provided them.

You acknowledge and agree that Indiexa may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms of Service; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Indiexa, its users and the public.

Reporting and Moderation. You may report User Content, listings and users through the reporting functionality provided within the Services, or by writing to legal@indiexa.com. Indiexa does not pre-screen User Content and has no general obligation to monitor, verify or edit it. Indiexa reserves the right, but assumes no obligation except where required by applicable law, to review, screen, remove or restrict access to any User Content, and to restrict or terminate any account, where Indiexa reasonably believes these Terms of Service have been breached. A decision to take or not take such action does not constitute approval or endorsement of any User Content. Where Indiexa takes action in respect of your account, listing or User Content, Indiexa will notify you of the reason where required by applicable law or where reasonably practicable, unless notice is prohibited or reasonably withheld to protect another person, prevent fraud or abuse, preserve an investigation, or protect the security of the Services. Section V (Review) applies to any such action.

Feedback. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Services ("Submissions") provided by you to Indiexa are non-confidential and Indiexa will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

VIII. Ranking, Discovery and Paid Placement.

Ranking Parameters. The Services order and present products, content and users in a number of contexts, including discovery pages, search, trending views and public leaderboards. Those results may be based on activity within the Services, relevance, recency, popularity, quality and integrity signals, together with other factors selected by Indiexa. Rankings may be calculated periodically rather than in real time. They reflect activity within the Services and do not measure real-world success. Indiexa may change these factors and the way they are applied at any time.

Paid Placement. Certain placements within the Services are paid for. Where a placement is paid for, it is identified by an "Ad" label displayed at the placement. Payment for a placement purchases visibility in that placement only. It does not purchase or affect position within discovery pages, search results, trending views or any leaderboard, and it does not directly change Product Data. Increased visibility may result in additional activity by users, and that activity may affect Product Data in the ordinary manner described in Section IV. If Indiexa accepts payment in consideration of improved ranking in the future, that fact will be disclosed in this Section and at the relevant placement before it takes effect.

Sponsored Placements. Indiexa offers a sponsored placement on its home page for a period of one week. A week runs from 00:00 UTC on a Monday to 23:59 UTC on the following Sunday, and is identified by the calendar date of its Monday. All times stated in this Section are Coordinated Universal Time, and no local time zone applies. A placement is allocated by auction as set out below. You do not need an account to place a bid.

Bids. A bid must specify the week bid for, the name and destination site to be promoted, a contact email address, and an amount. The minimum bid is one hundred United States dollars (US$100). There is no minimum increment and no reserve price. Bidding is blind: Indiexa does not publish, and does not otherwise disclose, the existence, number, identity or amount of any bid received for a week, whether before or after bidding closes.

Bidding Period. Bidding for a given week closes at 00:00 UTC on the Monday fourteen (14) days before that week begins, so the last day on which a bid may be placed for that week is the Sunday before that Monday. Expressed as lead time, the earliest week open for bidding at any moment is the week beginning twenty-one (21) days after the Monday of the current week. A bid submitted after bidding for the week in question has closed is not valid and will be refused. Indiexa's own record of the time a bid was received governs, and no extension of the bidding period is made for bids placed near the deadline.

Bids are Offers. A bid is an irrevocable offer to purchase the placement for the week and amount stated. Once submitted, a bid cannot be amended, reduced or withdrawn. You may submit a further bid for the same week at any time before bidding closes; the highest valid bid you have submitted for that week is the one that stands, and a subsequent lower bid does not replace or reduce a higher one. A bid is not accepted, and no contract is formed, until Indiexa notifies you that your bid has been successful.

Award. Subject to 'Rejection of Bids' below, Indiexa will award the placement for a week to the highest valid bid received for that week before bidding closed. Where two or more valid bids are equal in amount, the bid received earliest prevails, determined by the time at which Indiexa recorded it. Indiexa will notify each bidder of the outcome for a week after bidding for that week has closed.

Rejection of Bids. Indiexa may reject any bid, and may decline or remove any destination site, at its sole discretion and without giving reasons. This right may be exercised before or after bidding closes, and including after a placement has gone live. Where a bid is rejected before payment, no charge arises and Indiexa has no liability to the bidder. Where a placement is removed after payment for a reason other than your breach of these Terms of Service, the remedy in 'Failure to Run' below applies. Nothing in this paragraph obliges Indiexa to review, screen or approve any destination site, and Section VII applies to the content of any site promoted through a placement.

Payment. Nothing is charged when a bid is placed, and an unsuccessful bidder is never charged. If your bid is successful, Indiexa will send a checkout link to the email address given with the bid. That link is valid for twenty-four (24) hours. If it is not used within that period, your bid lapses, and Indiexa may award the placement to the next highest valid bid or may leave the week unsold. Payment is due in full before the placement runs, and Section IX applies to any payment made under this Section.

Creative. A successful bidder must supply the image and any other material required for the placement before the week begins, meeting the specifications published on the sponsorship page. Indiexa may decline material that does not meet those specifications, that is unlawful, or that Indiexa considers unsuitable, and 'Rejection of Bids' applies to any such material. If required material is not supplied before the week begins, Indiexa may run the placement without it, may decline to run the placement, or may substitute a later week, and no refund arises where the failure is yours.

Failure to Run. If a placement you have paid for does not run for the week agreed, for a reason other than your breach of these Terms of Service or your failure to supply required material, you may elect either a full refund of the amount paid for that placement or the next week that is available and unsold. That election is your sole and exclusive remedy, and Indiexa has no further liability in respect of the placement. Section XIII applies.

What a Placement Does Not Include. A placement purchases display in the sponsored slot for the week awarded and nothing further. Indiexa gives no guarantee, representation or warranty as to the number of impressions, clicks, visitors, signups, sales or other outcome that a placement will produce. The 'Paid Placement' provisions above apply, and a placement does not affect ranking, discovery, search, trending views, leaderboards or Product Data.

Bid Records. Indiexa retains the record of each bid, including unsuccessful bids, for twelve (12) months, as described in the Privacy Policy.

Public Leaderboards. Where you appear on a public leaderboard, the display name, username, avatar, location and joining date associated with your profile, together with your in-Service net worth and earnings, may be displayed publicly. You may remove optional profile fields, including location, at any time.

IX. Fees.

Payment Plan. You will be required to select a payment plan in order to obtain paid listing capacity. You agree to pay the amount specified in the payment plan in accordance with the terms of that plan and these Terms of Service. Subscription plans renew automatically at the end of each subscription period until cancelled or terminated by you or us. You may cancel at any time through your account settings and will retain access for the remainder of the period already paid for, unless your account is terminated for cause. Cancellation prevents the next renewal and does not refund the current billing period.

A plan described as "Lifetime" provides the purchased listing capacity for as long as Indiexa generally operates the applicable paid listing service. It does not refer to your lifetime or the lifetime of any product, and it does not require Indiexa to operate that service for any minimum period. No payment plan or payment confers Credits, Shares, an advantage in Buy or Sell, preferential Product Data, ranking preference or leaderboard position.

Payment Processing. INDIEXA DOES NOT PROCESS PAYMENT FOR ANY SERVICES. Polar Software Inc. and its affiliates ("Polar") act as merchant of record and authorized reseller for paid Services. You purchase paid Services from Polar, while Indiexa provides and licenses the Services to you under these Terms of Service. Purchases are also subject to Polar's terms and policies available at https://polar.sh/legal (collectively, the "Polar Agreements"), as modified by Polar from time to time. Polar processes payments, calculates and collects applicable transaction taxes, and issues invoices and receipts. To the fullest extent permitted by law, Indiexa assumes no liability or responsibility for Polar's payment processing or any action taken by Polar under the Polar Agreements. Nothing in this paragraph excludes Indiexa's responsibility to provide the Services under these Terms of Service. If these Terms of Service conflict with the Polar Agreements in relation to checkout, payment processing, taxes, invoices, refunds or chargebacks, the Polar Agreements control. These Terms of Service continue to govern your right to access and use the Services.

Failed Payment. Where a payment is not successfully processed, Indiexa may place your subscription into a grace period. Where the payment is not subsequently resolved, your listing capacity will be reduced and the provisions of Section VI (Listing Capacity) will apply.

Refund Policy. Subject to any refund expressly provided in these Terms of Service and to any rights available under applicable law or the Polar Agreements, all payments are final and non-refundable. There are no refunds or credits for partially used subscription periods, unused listing capacity, account inactivity, change of mind, failure to cancel before renewal, account deletion, or termination resulting from a breach of these Terms of Service. If technical problems prevent or unreasonably delay delivery of purchased Services, the available remedy will be replacement or a refund under the Polar Agreements. If a full or partial refund is issued, the corresponding paid listing capacity and related benefits may be reduced or removed.

Chargebacks. If you dispute a charge, you agree to contact Polar first to attempt to resolve the billing issue before initiating a chargeback. Nothing in these Terms of Service limits any chargeback right provided by your card issuer, the Polar Agreements or applicable law. Indiexa may suspend the paid benefits associated with a disputed payment while the dispute is pending and may remove them if the payment is refunded or reversed.

X. Intellectual Property Rights.

Service Content, Software and Trademarks. You acknowledge and agree that the Services may contain content or features ("Service Content") that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized herein or in the Services, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Services or the Service Content, in whole or in part, except that the foregoing does not apply to your own User Content that you lawfully upload to the Services. In connection with your use of the Services you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods, including in respect of Product Data. If you are blocked by Indiexa from accessing the Services, including by blocking your IP address, you agree not to implement any measures to circumvent such blocking. Any use of the Services or Service Content other than as specifically authorized in these Terms of Service is strictly prohibited. The technology and software underlying or distributed in connection with the Services are the property of Indiexa and its partners (the "Software"). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code of, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Indiexa.

You must keep confidential any non-public Service Content made available to you and must not disclose it to another person without Indiexa's prior written consent, except as expressly permitted by these Terms of Service or required by law. This obligation does not apply to public listings, public profiles, public posts, public Product Data, or your own User Content. You must promptly notify us if you become aware of any unauthorized use or disclosure of non-public Service Content made available to you.

The Indiexa name and logo are trademarks of Indiexa. Other product and service names and logos used and displayed via the Services may be trademarks or service marks of their respective owners, who may or may not endorse or be affiliated with or connected to Indiexa. Nothing in these Terms of Service or the Services should be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Indiexa trademark without our prior written permission in each instance.

Copyright Complaints. Indiexa respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify Indiexa of your infringement claim in accordance with the procedure set out below.

Indiexa will process and investigate notices of alleged infringement and will take appropriate action under applicable intellectual property laws. A notification of claimed copyright infringement should be emailed to legal@indiexa.com (Subject line: "Copyright Takedown Request"). To be effective, the notification must be in writing and contain the following information:

a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; b) a description of the copyrighted work or other intellectual property that you claim has been infringed; c) a description of where the material that you claim is infringing is located on the Services, with enough detail that we may find it; d) your address, telephone number, and email address; e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law; and f) a statement by you that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the owner's behalf.

Counter-Notice. If your User Content was removed as a result of a Copyright Takedown Request, you may submit an appeal to legal@indiexa.com. The appeal must identify the removed material, explain why you believe the removal was an error, include your name and contact information, and confirm that the information in your appeal is accurate and that you are authorized to submit it. Indiexa may provide the appeal to the person who submitted the original request and may restore the User Content where appropriate under applicable law.

Repeat Infringer Policy. Indiexa has adopted a policy of terminating, in appropriate circumstances and at Indiexa's sole discretion, users who are deemed to be repeat infringers. Indiexa may also at its sole discretion limit access to the Services and terminate the accounts of any users who infringe the intellectual property rights of others, whether or not there is any repeat infringement.

XI. Privacy and Data Protection.

Your use of the Services is subject to our Privacy Policy and Cookie Policy, which describe the personal data we collect, the purposes for which we process it, the signals we use in connection with security and integrity, the retention periods applied, and the rights available to you. Those policies are incorporated into these Terms of Service by reference.

We will send you communications relating to the operation of your account, including security, transactional and billing notices, which you may not opt out of while your account remains open. Marketing and newsletter communications are separate, and you may unsubscribe from them at any time.

XII. Complaints and Grievance Redressal.

In accordance with the Information Technology Act, 2000 and rules made thereunder and the Consumer Protection (E-Commerce) Rules, 2020, the contact details of the Grievance Officer are provided below. The Grievance Officer may be contacted in respect of any complaint concerning these Terms of Service, User Content available through the Services, or any breach of the foregoing. Your complaint should identify the relevant content, account or action, explain the nature of the complaint, and provide contact information through which we can respond.

XIII. Indemnity and Liability; Disclaimers.

Indemnity and Release. To the extent permitted under applicable law, you agree to release, indemnify and hold Indiexa and its officers, employees, agents and representatives (collectively, "Indemnitees") harmless from any and all losses, damages, expenses, including reasonable legal fees, rights, claims, and actions of any kind arising out of or relating to your use of the Services, any User Content you provide, any listing you create, your connection to the Services, your violation of these Terms of Service or your violation of any rights of another. This includes third-party claims arising from User Content you provide, including claims concerning intellectual property infringement, defamation, privacy, publicity rights, misrepresentation or unlawful use of personal information. Notwithstanding the foregoing, you will have no obligation to indemnify or hold harmless any Indemnitee from or against any liability, losses, damages or expenses incurred as a result of any action or inaction of such Indemnitee.

Disclaimer of Warranties. Your use of the Services is at your sole risk. To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis and Indiexa expressly disclaims all warranties, representations and conditions of any kind, whether express, implied or statutory, including, but not limited to, the implied warranties and conditions of merchantability, satisfactory quality, fitness for a particular purpose, title and non-infringement. Except to the extent required by applicable law, Indiexa makes no warranty that (i) the Services will meet your requirements, (ii) the Services will be uninterrupted, timely, secure or error-free, or (iii) the results that may be obtained from use of the Services, including Product Data, will be accurate, complete, continuously available or reliable.

To the maximum extent permitted by applicable law, Indiexa: (i) makes no warranty, condition or representation in relation to Product Data, whether as to its accuracy, completeness, availability, suitability or otherwise; and (ii) accepts no responsibility or liability for any consequences arising from your use of, or reliance upon, Product Data.

Limitation of Liability. You expressly understand and agree that Indiexa will not be liable for (a) any indirect, incidental, special or consequential losses, or (b) direct or indirect loss of profits, loss of goodwill, loss of opportunity, loss of use or data, or any loss of Credits, Shares, balances, holdings, Product Data, ranking or leaderboard standing, whether based on contract, tort, negligence, strict liability or otherwise, resulting from: (i) the use or inability to use the Services; (ii) any adjustment, reversal, restatement, reset or product removal effected under Section IV or Section V; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Services; or (v) any other matter relating to the Services. In no event will Indiexa's total liability to you for all damages, losses or causes of action exceed the greater of the amount you paid for the Services in the six (6) months preceding the event giving rise to the liability or one hundred United States dollars ($100).

Some jurisdictions do not allow the disclaimer or exclusion of certain warranties or the limitation or exclusion of liability for certain losses in contracts with consumers. Nothing in these Terms of Service will in any way exclude or limit Indiexa's liability to you for any matter for which it would be illegal to exclude or attempt to exclude its liability, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Accordingly, some of the limitations set out above may not apply to you or be enforceable with respect to you if you are a consumer. Nothing in these Terms of Service affects any statutory rights you have if you are a consumer.

You agree that you are solely responsible for your interactions with any other user in connection with the Services and Indiexa will have no liability or responsibility with respect thereto. Indiexa reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Services.

XIV. Termination and Cancellation.

Termination. You may request termination of your account at any time through your account settings. Before your account can be terminated, you must cancel any active subscription and remove any products that you own from the Services. Product removal is subject to Section IV. If your subscription is already scheduled to cancel at the end of its current period, terminating your account ends access immediately and does not entitle you to a refund for the remainder of that period.

Indiexa, in its sole discretion, may suspend or terminate your account (or any part thereof) or your use of the Services if Indiexa believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service, if required to do so by law, or if it discontinues providing the Services. If Indiexa discontinues a paid Service without cause before the end of a prepaid subscription period, Indiexa will either continue providing the purchased Service through that period or arrange a refund under Section IX of the amount paid for the portion occurring after access ends. Except for that unused prepaid portion and any refund required under Section IX or applicable law, payments remain non-refundable following suspension, termination or discontinuation.

Termination for Cause. If Indiexa suspends or terminates your account due to a violation of these Terms of Service, any applicable policy, or any applicable law, you will not be entitled to any refund, credit, or proration of prepaid subscription fees. The non-refund provisions in Section IX apply in full to any such termination.

Effect of Termination. Upon termination of your account by you or us, your access to the Services ceases and all Credits, Shares, balances, holdings, Product Data and leaderboard positions associated with your account are removed and are not recoverable, restorable or compensable. A Lifetime plan is tied to the account on which it was purchased, does not transfer to another account and is not refunded when that account is terminated. Any subscription ceases to renew. Where reasonably possible, you will be advised of the termination of your access. You acknowledge and agree that Indiexa may thereafter deactivate or delete your account and related information and files, subject to the retention periods described in our Privacy Policy, and bar further access to such files or the Services.

Survival. The sections headed 'Nature of the Feature', 'Credits', 'Prices and Product Data', 'License to User Content', 'Feedback', and Sections X, XIII, XV, XVI, XVII and XVIII survive any termination of your account.

XV. Third Party Websites.

The Services may provide, or third parties may provide, links or other access to other sites and resources on the Internet, including the websites of listed products. Indiexa has no control over such sites and resources and Indiexa is not responsible for and does not endorse such sites and resources. You further acknowledge and agree that to the fullest extent permitted by law, Indiexa will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods or services available on or through any such site or resource. Any dealings you have with third parties found while using the Services are between you and the third party.

XVI. Special Notice for International Use; Export Controls.

Recognizing the global nature of the Internet, you agree to comply with all local rules and laws regarding your use of the Services, including as it concerns online conduct and acceptable content. You represent and warrant that you are not located in, or ordinarily resident in, any country or territory that is the target of comprehensive economic or trade sanctions, and that you are not identified on any list of prohibited or restricted parties.

XVII. General.

These Terms of Service constitute the entire agreement between you and Indiexa and govern your use of the Services, superseding any prior agreements between you and Indiexa with respect to the Services. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by us or on our behalf which is not set out in these Terms of Service. The failure of Indiexa to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect. To the extent permitted by applicable law, any claim or cause of action arising out of or related to use of the Services or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You may not assign these Terms of Service without the prior written consent of Indiexa. Indiexa may assign or transfer these Terms of Service, in whole or in part, without restriction, including to any company formed or controlled by the proprietor of Indiexa which assumes the operation of the Services, upon notice to you. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect. Notices to you may be made via either email or by display within the Services. Any words following the terms "including", "include", "in particular", "for example" or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.

XVIII. Governing Law and Jurisdiction.

These Terms of Service and any dispute or claim arising out of or in connection with them are governed by the laws of India. Subject to any mandatory rights available to you as a consumer, you and we submit to the exclusive jurisdiction of the courts at Mumbai, Maharashtra. Nothing in this section deprives a consumer of any protection, remedy or right to bring proceedings that cannot lawfully be limited by these Terms of Service.
